Each engagement is designed for a specific kind of question. The form you choose depends on where you are in the matter and what you need from us.

How we approach every engagement.
The starting point is always the same: we listen carefully to what the principal actually needs before proposing a form of engagement. Not every matter requires full transaction counsel — sometimes a short written note is more appropriate and more useful.
We read what is available about the matter, the counterparty, and the market context. We form an independent view — unconstrained by a position in the transaction or a relationship with the other side. We put that view in writing.
The written form is deliberate. It disciplines the thinking, creates a record the principal can return to, and provides something that can be shared with legal advisers when useful. Verbal opinions are too easily misremembered.
Understand the Matter
A preliminary call to understand the specific question, the stage of the matter, and whether we can assist without conflict.
Agree the Engagement
A written engagement letter defines scope, fee, deliverables, and confidentiality before any substantive work begins.
Conduct the Work
Research, analysis, and sessions with the principal — paced to the matter, not to a billing target.
Deliver in Writing
All deliverables transmitted securely. Documents retained for seven years per our policy.
Engagement One
Transaction Counsel
A discreet engagement for principals considering a single transaction of meaningful scale — a sale, a purchase, the entry of a new partner, the orderly exit of an existing one. We sit alongside the principal and their existing legal and financial advisors, and offer a measured outside read on the commercial logic, the structure of the conversation with the counterparty, and the points on which to hold and on which to give.

Engagement Two
Counterparty Read
A focused engagement: we prepare a private written profile of a single counterparty — typically an intended buyer, seller, or partner — covering what is publicly knowable about their commercial posture, their pattern of past transactions, and the particular sensitivities that may shape the conversation ahead. The profile is shared only with the principal.

Engagement Three
Confidential Note
A short written response to a single discreet question — for instance, the wording of an opening proposition to a prospective counterparty, or the implications of a particular term in a heads of agreement. Roughly fifteen hundred words, delivered within ten business days, with one follow-up call. Sealed correspondence; no third party is consulted without the principal's express written instruction.

Written Engagement Letter
Scope, fee, confidentiality, and termination agreed in writing before any substantive work proceeds.
Conflict Screening
Every potential engagement is screened for conflicts before we accept it. Identified conflicts are disclosed and resolved before work begins.
Secure Transmission
Deliverables are transmitted through encrypted channels. Unprotected email is not used for substantive documents without prior agreement.
No Third-Party Consultation
No external party is contacted about a principal's matter without explicit written instruction from that principal.
Document Retention
Working papers are retained for seven years following close of engagement. Principals may request copies at any point during that period.
No Referral Commissions
We accept no fee, commission, or consideration from any third party in connection with any engagement. Our interests are aligned with the principal's alone.
