A stalled partner exit

A founding partner wished to exit a mid-sized trading business, but valuation talks had circled for half a year with no agreement and rising tension.

Counsel

We reframed the conversation around the remaining partners' liquidity rather than a headline figure, and drafted working notes ahead of each negotiation session.

Outcome

Terms were agreed within seven weeks of engagement, with a staged payout that satisfied both sides. The relationship between the parties remained civil.

A buyer worth scrutinising

A principal received an attractive offer for her company from an acquirer she knew little about, and felt pressed to respond quickly.

Counsel

We assembled a written profile of the acquirer's pattern across prior purchases, including how earn-out commitments had been honoured in the past.

Outcome

The principal renegotiated the structure to front-load consideration. The revised terms held, and the transaction closed on a firmer footing.
